Radius Care Outlines Strategy for Sustainable Growth

Radius Residential Care Limited (NZX: RAD) (Radius Care) is holding its 2026

Annual Shareholders’ Meeting and Investor Session in Auckland today.

In the Investor Session Radius Care outlines plans to build on its strong operating

performance through accelerating expansion of its aged-care portfolio, growth in

the services and products that support people as they age, and continued

discipline in capital management.

Radius Health

Central to this strategy is the announcement of Radius Health, which will provide

the framework for the wider Radius group. Radius Care will remain focused on

delivering trusted, high-quality residential care, while Radius Health brings

together the supporting services, products and technology being developed

around it. This includes home support, Luma

®

, Radius Shop and Cibus Catering.

Founder and Executive Chair Brien Cree says Radius Health is the next step in the

purpose that led him to establish Radius Care in 2003. “Radius Care began with a

very personal understanding of how hard it can be for families to navigate aged

care, and a desire to improve their experience. Now, 23 years later, Radius Health is

our commitment to making the wider experience simpler and more connected,

while keeping people and the quality of their care at the centre.”

Chief Executive Officer Andrew Peskett adds that Radius Health will help the

group extend its reach while strengthening its core care delivery.

‘Radius Care will continue to deliver the care people know us for, while Radius

Health provides the platform that connects and grows our supporting services.”

Growth Strategy

Other key items being presented during the Investor Session today include:

• Radius Care’s strong operating foundation.

• A disciplined capital management approach that maintains financial

resilience while supporting growth investment and continued growth in fully

imputed dividends.

• Expansion will more than double existing aged-care capacity over the next

ten years, primarily through new care homes developed with the support of

private property investors.

A nine-month buyback will apply for Occupation Right Agreements in Radius

Care’s retirement villages. Andrew Peskett commented “in keeping with our core

purpose of care, this important initiative will provide greater certainty for residents

and their families.”



Occupancy Update and FY27 Outlook

Current occupancy is 96.7% vs 95.6% on 12 August 2025, with 1,923 occupied beds

(vs 1,814 on 12 August 2025).

Radius Care reiterates that it expects continued underlying growth in key financial

metrics in FY27, boosted by the addition of Karori’s 90 beds to the portfolio from 27

May 2026.

Good morning, everyone.

I am Brien Cree, Executive Chair and Founder of Radius Residential Care Limited.

I am pleased to welcome you all to our sixth Annual Shareholders’ Meeting.

Before we move into the formal business of today’s meeting, I would like to thank all

our shareholders for your continued support of Radius Care. We appreciate the trust

you place in the Company and your ongoing interest in our progress.

Today’s meeting is being held both in person and at the office of MUFG Pension &

Market Services, here in Auckland, and online. I will provide you with further

instructions as we progress through the meeting. But if you encounter any issues,

please refer to the virtual meeting online portal guide or you can phone the helpline on

0800 200 220.

Before we begin, I will cover a few housekeeping matters:

Firstly, for those of you here in person, can I ask that you please put your mobiles on

silent.

Toilets are located to the right as you exit the back of the room.

If a fire alarm goes off, please follow directions from MUFG staff and they will guide you

safely to the designated evacuation area and provide further instructions as required.

For those attending online, the meeting can be followed through the online platform.

As today’s Annual Shareholder Meeting is focused on formal business, questions during

this part of the meeting should relate to the resolutions before shareholders. Broader

questions about Radius Care and the business should be held over for the investor

session which will follow this meeting, where there will be an opportunity for both

shareholders and non-shareholders to ask general questions.

This year’s meeting follows a revised format.

The formal Annual Meeting will focus on the business set out in the Notice of Meeting.

This includes considering and voting on the resolutions and considering any other

matter that may properly be brought before the meeting.

We have adopted this revised structure so that the formal shareholder business can be

dealt with clearly and efficiently, while also allowing time for a broader discussion

about Radius Care, its performance, growth initiatives and future direction.

Following the Annual Shareholder Meeting, we will present a separate investor session.

Morning tea will be available before the investor session begins, and we encourage you

to stay with us, whether you are joining in person or online. Members of the senior

leadership team will provide further commentary and updates on Radius Care,

including new business opportunities and the Company’s future strategy and direction.

There will also be an opportunity for attendees to ask broader questions about the

business.

Attendance at the investor session is open to all interested parties and is not limited to

shareholders.

As those investor updates will be covered separately, I will not address them during the

formal Annual Meeting.

The order of proceedings today is:

• first, I will outline the resolutions before shareholders;

• we will then move through each resolution in turn;

• shareholders will have the opportunity to ask questions on each resolution;

• voting will be completed by poll; and

• we will then deal with any other business that may properly be brought before

the meeting.

The resolutions before shareholders today are ordinary resolutions. Each resolution

must be passed by a simple majority of votes of shareholders entitled to vote and

voting on the resolution, whether in person, online, or by proxy.

The Board unanimously supports the resolutions before the meeting and recommends

that shareholders vote in favour of Resolutions 1, 2, 3 and 4. My fellow directors and I

intend to vote all the discretionary proxies received in favour of the resolutions set out

in the notice of meeting.

For those attending online, voting will be conducted through the online platform. If

you are eligible to vote, please follow the voting instructions on your screen.

For those in the room, voting papers will be collected at the appropriate time by

representatives of MUFG Pension & Market Services, who will act as scrutineers.

I will now move to the resolutions set out in the Notice of Meeting.

I will take the text of each resolution as read.

Auditor’s Remuneration

Resolution 1 relates to the remuneration of auditors.

Radius Care’s current auditor, Baker Tilly Staples Rodway, is automatically reappointed

as auditor at the Annual Meeting under section 207T of the Companies Act 1993. This

resolution authorises the Directors to fix the remuneration of Baker Tilly Staples

Rodway as auditor for the coming financial year, under section 207S of the Companies

Act 1993.

As is usual with audit fees, the exact amount cannot be fixed at this point, so

shareholders are asked to give the Board authority to fix the auditor’s remuneration.

I now move, as an ordinary resolution:

That the Directors are authorised to fix the remuneration of Baker Tilly Staples Rodway

as auditor of Radius Care for the ensuing financial year.

Resolution 2: Re-election of Mary Gardiner

Resolution 2 relates to the re-election of Mary Gardiner as a Director.

Under the NZX Listing Rules, a Director must not hold office without re-election past

the third annual meeting following the Director’s appointment, or three years,

whichever is longer. Mary Gardiner is therefore required to retire at this meeting and,

being eligible, offers herself for re-election.

A brief biography of Mary was included in the Notice of Meeting. Mary was appointed

as a Director in December 2020 and is a member of the Audit and Risk Committee. She

brings strong finance, audit and risk experience developed through senior executive

and governance roles across financial services, healthcare, aviation and sport.

The Board has considered Mary’s current appointments, prior roles and all other

relevant matters, and considers her to be independent under the NZX Listing Rules

and the NZX Corporate Governance Code. The Board is satisfied that she has no

relationships or interests that would affect her independent judgement.

The Board unanimously supports Mary’s re-election and recommends that

shareholders vote in favour of Resolution 2.

I now invite Mary to briefly address the meeting on her proposed re-election.

That Mary Gardiner, who, in accordance with the NZX Listing Rules, retires and is

A brief biography of Hamish was included in the Notice of Meeting. Hamish was also

appointed as a Director in December 2020 and is Chair of the Audit and Risk

Committee. He brings extensive governance and financial leadership experience, with

a background spanning senior finance roles and board appointments across a range of

New Zealand organisations.

The Board has considered Hamish’s current appointments, prior roles and all other

relevant matters, and considers him to be independent under the NZX Listing Rules

and the NZX Corporate Governance Code. The Board is satisfied that he has no

relationships or interests that would affect his independent judgement.

The Board unanimously supports Hamish’s re-election and recommends that

shareholders vote in favour of Resolution 3.

A brief biography of Tom was included in the Notice of Meeting. Tom was elected as a

Director in August 2023 and is a member of the Remuneration and People Committee.

He brings governance, commercial and financial experience, with a background in

aged care, listed company leadership and professional services.

The Board has considered Tom’s current appointments, prior roles and all other

relevant matters, and considers him to be independent under the NZX Listing Rules

and the NZX Corporate Governance Code. The Board is satisfied that he has no

relationships or interests that would affect his independent judgement.

The Board unanimously supports Tom’s re-election and recommends that

shareholders vote in favour of Resolution 4.

ACQUISITIONS
Karori, a 90-bed care home, was acquired

on 27 May 2026 and has been rapidly

integrated into Radius Care.

Acquisitions of existing care homes will be

pursued where they are complementary to

the existing Radius portfolio.

NEW BUILD CARE HOMES

Construction of the 100-bed Applefields care home in Belfast,

Christchurch, has commenced.

Construction of an 80-bed care home in Hokitika, in

collaboration with Development West Coast, is expected to

commence in early 2027.

We are actively progressing additional opportunities with private

investors to construct new care hospitals of 80 to 100 beds

throughout the country. We plan to build 20 new aged care

hospitals over the next 10 years.

NEW VILLAGE DEVELOPMENTS

Some new build care homes come with the opportunity to develop

retirement villages of 50 to 80 units like the 55-villa retirement village

planned in Hokitika. These villas will be staged over time.

The 4.3Ha site at Belfast, Christchurch, will incorporate ~80 villas along

with the 100-bed care home.

Villa construction is planned in small stages to meet demand and ensure

efficient capital recycling.

Six additional villas at Matamata Country Lodge are nearly complete.

Construction of a six-villa development at Clare House in Invercargill is

Luma and Radius Shop

Luma is Radius Care’s own range of continence products,

developed and perfected based on feedback from our care homes.

Luma gives Radius greater control over:

•product quality.

•supply reliability.

•product specification.

Luma has been successfully rolled out across our care homes. This

range will be further extended into complementary product lines.

Radius' established online retail platform, Radius Shop, will add the

Luma range to its extensive catalogue of products supporting

independent living, spanning categories including mobility,

bathroom and bedroom.

In addition, future wholesale opportunities have been identified

beyond the Radius Care network.

Extending care into the home
Home Support

Radius Home Support delivers professional care to people in their

own homes, across ACC-funded and private clients.

Services include:

•hospital-level rehabilitation.

•recovery support.

•assistance with daily living.

Radius became an accredited ACC Maximise Independence provider

on 1 March 2025, enabling nationwide delivery of hospital-level

rehabilitation services to ACC clients.

For private clients, the focus is more personalised support, clinical

oversight, continuity of staff and care organised around people’s lives.

Cibus

Radius holds a 51% interest in Cibus Catering, a specialist provider

of menu planning, nutrition management and full kitchen operations

for aged care operators.

In FY26, Cibus supported delivery across Radius care homes and

external partners, with:

•28 Cibus-managed care home kitchens.

•49 sites using Cibus menus and systems, up seven from FY25.

The Cibus App supports:

•meal selection.

•menu compliance.

•audit readiness.

•food safety.

For residents and families, Cibus supports a more responsive and

visible dining experience.

Current occupancy is 96.7% vs 95.6% on 12 August 2025, with 1,923

occupied beds (vs 1,814 on 12 August 2025).

OUTLOOK

Radius Care reiterates that it expects continued underlying growth in key

financial metrics in FY27, boosted by the addition of Karori’s 90 beds to the

portfolio from 27 May 2026.
