MICHAEL HILL ANNOUNCES CHAIR TRANSITION

Michael Hill International Limited (ASX/NZX: MHJ) (MHJ or Company) today announced that Rob Fyfe has
advised the Board of his intention to retire as a Director and Chair of the Company, effective 28 November
2026. The Board has appointed current Non-Executive Director, Claudia Batten, to succeed Mr Fyfe as Chair
on 28 November 2026.

Mr Fyfe has served on Michael Hill boards since 2014 and was appointed a Director of Michael Hill International
Limited in 2016. He has served as Chair since 2021, succeeding Emma Hill.

Following the tragic passing of CEO Daniel Bracken and the Company's Founder, Sir Michael Hill, last year, Mr
Fyfe committed to remaining as Chair to oversee the appointment of a new Chief Executive Officer and support
an orderly leadership transition. During that period, the Board appointed Jonathan Waecker as CEO and has
worked closely with him to position the business for its next phase of sustainable revenue and profit growth.
Rob Fyfe, said:

Ms Batten has served as Deputy Chair since March 2025 and is an experienced company director and
technology entrepreneur. Ms Batten is currently a director of Air New Zealand Limited (NZX/ASX: AIZ), Vista
Group International Limited (NZX/ASX: VGL) and is Chair of Serko Limited (NZX/ASX: SKO) and has extensive
experience in governance, digital transformation, innovation and international business.
