REQUEST FOR SUSPENSION: WINTON LAND LIMITED (ASX CODE: WTN, NZX CODE: WIN)
Winton Land Limited’s (Winton) ordinary shares (ISIN: NZWINE0003S1) were placed into suspension
on NZX on Monday, 31 August 2026 by NZ RegCo.
Accordingly, we request that Winton’s ordinary shares be placed into suspension on ASX under ASX
Listing Rule 1.15.6 and 17.2.
We would like the suspension on ASX to commence prior to the commencement of trading on ASX
on Monday, 31 August 2026 and remain in place until such time as the suspension is lifted on NZX.
Reasons for suspension: NZ RegCo has advised that it has exercised its discretion under the NZX
Listing Rules and suspended the quotation of ordinary shares of Winton. The suspension follows
announcements last week by Winton that three of its directors, including two independent directors,
have resigned with effect from today. As a result of those resignations, the board of Winton currently
only has one independent director. This means Winton no longer meets the NZX Listing Rules
governance requirements relating to board and audit committee composition, including as to the
minimum number of independent directors on the board and in relation to various audit committee
composition requirements under NZX Listing Rule 2.13.2. As such, NZ RegCo has stated that it
considers that a suspension is in the best interests of the market, given the intent and objectives of
the NZX Listing Rules governance requirements.
How long it expects the suspension to last: We would like the suspension on ASX to commence prior
to the commencement of trading on ASX on Monday, 31 August 2026 and remain in place until such
time as the suspension is lifted on NZX.
NZ RegCo has advised that the suspension will remain in place until further notice on NZX.
The event we expect to happen that will end the suspension: We expect the suspension on ASX to
end once Winton has appointed at least one further independent director and revised the
composition of its audit committee such that Winton meets the relevant NZX Listing Rules
governance requirements, at which point Winton expects its suspension on NZX will be lifted.
Other information necessary to inform the market about the suspension or that ASX has
requested: None.
We confirm that we are not aware of any reason why the suspension should not be granted.
