Notice under rule 49C(1) of the Takeovers Code
We refer to Mangawhai Collective Limited’s partial takeover offer for 43.93667% of the fully paid ordinary shares
in Bremworth Limited that it does not already hold or control. Capitalised terms used but not defined in this
notice have the meaning given to them in the offer document for the Offer.
This notice is given to satisfy the requirements of Rule 49C(1) of the Takeovers Code. As at today’s date:
(a) The Offer remains subject to those conditions set out in paragraph 8.1 (Further Conditions of the
Offer) of the Offer Document.
(b) Under paragraph 8.2 of the Offer Document, Mangawhai has the right to waive any of the Further
Conditions of the Offer.
(c) To the best knowledge and belief of Mangawhai, after making proper inquiry, the condition in
paragraph 7.1(a) (Minimum Acceptance Condition) of the Offer Document has been satisfied.
(d) The percentage of voting rights in Bremworth in respect of which Mangawhai has received
acceptances under the Offer, together with those voting rights already held or controlled by
Mangawhai as at the Offer Date, is 59.25%.
The Offer remains open and is scheduled to close at 11.59pm on 2 October 2026, which is nine working days from
now.
If you have not already accepted the Offer, but wish to do so, please complete an online acceptance at
www.takeoveroffer.co.nz/bremworth, or complete the Acceptance Form (and, if applicable, the Specified Holder
Certificate) that accompanied the Offer Document, in accordance with the instructions set out on those forms by
no later than the Closing Date. Acceptances in respect of more than the Specified Percentage of each
shareholder’s Shares in Bremworth will be subject to scaling in accordance with paragraph 6 of the Offer
Document.
