Offer declared unconditional - rule 49C(3) of the Takeovers Code
We refer to Mangawhai Collective Limited’s partial takeover offer for 43.93667% of the fully paid ordinary shares
in Bremworth Limited that it does not already hold or control.
Mangawhai’s offer closed at 11.59pm on 2 October 2026. As at closing of the offer and for the purposes of rule
49A of the Takeovers Code, Mangawhai received acceptances under the offer for a total of 59.27% of the ordinary
shares in Bremworth.

The minimum acceptance condition in paragraph 7(a) of the offer document was satisfied on 21 September 2026
and Mangawhai waives the further conditions set out in paragraph 8.1 of the offer document. The offer is now
unconditional in all respects.
Acceptances will be scaled in accordance with the Takeovers Code and paragraph 6 of the offer document.
Payment for each accepting shareholder’s ordinary shares in Bremworth taken up under the offer (following the
scaling process) will occur on or before 12 October 2026 in accordance with the Takeovers Code and paragraph
3.1 of the offer document.
