Foley Family Wines in discussions to acquire Mt Difficulty Wines


Foley Family Wines Limited [NZX: FFW] advises that it has entered into
discussions with Mt Difficulty Wines Limited (MDW) in connection with the
potential acquisition by FFW of the Mt Difficulty Wines assets and business,
including its iconic Central Otago wine brands Mt Difficulty and Roaring Meg
and its winemaking and cellar door facilities.

Entry into a transaction with MDW is subject to FFW satisfactorily completing
due diligence and successfully concluding transaction documentation with MDW,
and completion of any transaction is expected to be subject to conditions
including the need for FFW shareholder approval and Overseas Investment
Office approval.

FFW is not able to provide any more information at this time, given that
confidential discussions with MDW are ongoing, but will update the market when
there are material developments.
