A. In accordance with the terms of the THL Long Term

Incentive Scheme 2009, Redeemable Ordinary Shares

were (at the request of David Simmons) paid up in full

by David Simmons, converted into Ordinary Shares,

and transferred to the officer. Shares were previously

paid to 1 cent.

B. Issue of unlisted options to subscribe for ordinary

shares pursuant to the Tourism Holdings Limited Long

Term Incentive Scheme 2017, as announced on 3 April

2017.
