Details of transactions and events giving rise to ceasing of substantial holding
Details of the transactions or other events requiring disclosure:
On 7 November 2018 GTNZ entered into a conditional Agreement for Sale and Purchase of
Shares whereby GTNZ agreed to sell its entire shareholding in Southern Charter Financial
Group Limited, being 442,809,270 ordinary shares, to Chang Ku EE for $2,950,000 (Sale
and Purchase Agreement). The Sale and Purchase Agreement was conditional on non-
associated shareholder approval being obtained under the Takeovers Code.
The condition under the Sale and Purchase Agreement has now been satisfied and GTNZ
has disposed of its entire shareholding in Southern Charter Financial Group Limited, being

442,809,270 ordinary shares, to Chang Ku EE and accordingly, has ceased to hold a
substantial holding in Southern Charter Financial Group Limited.
A copy of the Sale and Purchase Agreement is attached to the previous substantial product
holder notice disclosure dated 8 November 2018.
