Details of transactions and events giving rise to ceasing of substantial holding
Details of the transactions or other events requiring disclosure:
On 30 November 2018 Hooker Bros. Investments became the registered holder of
29,529,277 ordinary shares and Hooker Bros. (1989) became the registered holder of
25,733,245 ordinary shares in TIL Logistics Group Limited (“TIL Logistics”) following an
in specie distribution by Bowker Holdings 99 Limited of all of its ordinary shares in TIL
Logistics to its shareholders (which included Hooker Bros. Investments and Hooker Bros.
(1989)). Prior to that in specie distribution by Bowker Holdings 99 Limited, Hooker Bros.
Investments and Hooker Bros. (1989) each had a relevant interest in the financial products
of TIL Logistics held by Bowker Holdings 99 Limited as they each had the power to exercise
the right to vote attached to 20% or more of the voting rights of Bowker Holdings 99
Limited.
On 31 January 2019 each of Hooker Bros. Investments and Hooker Bros. (1989) undertook
an in specie distribution to their shareholders of all of the ordinary shares held by each of
Hooker Bros. Investments and Hooker Bros. (1989) in TIL Logistics. As a result, Hooker
Bros. Investments and Hooker Bros. (1989) no longer hold any ordinary shares in TIL
Logistics.
This is the first substantial product holder notice filed by Hooker Bros. Investments and
Hooker Bros. (1989) as they previously relied on an exemption in section 284 of the
Financial Markets Conduct Act 2013.
