Details of the transactions or other events requiring disclosure:
On 31 January 2019 each of Hooker Bros. Investments Limited and Hooker Bros. (1989)
Limited (“Hooker Bros. Entities”) undertook an in specie distribution to their
shareholders (which include the Stewart Trustees) of all of the ordinary shares held by

each of the Hooker Bros. Entities in TIL Logistics Group Limited (“TIL Logistics”). As a
result:
a) a total of 5,905,855 ordinary shares in TIL Logistics were transferred from Hooker
Bros. Investments Limited to the Stewart Trustees;
b) a total of 5,146,649 ordinary shares in TIL Logistics were transferred from Hooker
Bros. (1989) Limited to the Stewart Trustees;
c) the Stewart Trustees are now the registered holders of a total of 11,052,504
ordinary shares in TIL Logistics previously held by the Hooker Bros. Entities (prior
to the in specie distributions the Stewart Trustees had a relevant interest in the
financial products of TIL Logistics held by each of the Hooker Bros. Entities as they
had the joint power to exercise the right to vote attached to 20% or more of the
voting rights of each of the Hooker Bros. Entities);
d) the Stewart Trustees’ substantial holding in TIL Logistics has decreased by more
than 1% as they no longer have a relevant interest in all the financial products of
TIL Logistics previously held by each of the Hooker Bros. Entities; and
e) the Hooker Bros. Entities no longer hold any ordinary shares in TIL Logistics.
