Vesting of Rights granted under ANZ’s employee equity plan

Notification under ASX Listing Rule 3.10.3B – vesting of Rights (nil exercise price
options) previously granted under ANZ’s employee equity plan

For the purposes of ASX Listing Rule 3.10.3B, ANZ confirms that the following Deferred
Share Rights previously granted to employees under the ANZ Share Option Plan (the ‘Plan’)
as part of their remuneration and incentive arrangements vested on 27 February 2020:

a) 59,922 Deferred Share Rights granted between February 2018 and August 2019 -
these Deferred Share Rights were automatically exercised on that date with holders
receiving one ANZ share for each exercised Deferred Share Right;
b) 594 Deferred Share Rights granted in February 2018 – these Deferred Share Rights
can be exercised by their holder up until 27 February 2022; and
c) 5,062 Deferred Share Rights granted in February 2018 - these Deferred Share
Rights were automatically exercised on that date with holders receiving a cash
payment equivalent in value to one ANZ share for each exercised Deferred Share
Right.

Any ANZ shares provided, or to be provided, to holders on exercise of the Deferred Share
Rights mentioned in paragraphs (a) and (c) have previously been purchased on market by
the trustee of the Plan.

Additional details of the Plan are set out in Note 31 of ANZ’s 2019 Annual Report.

A total of 6,817,640 Rights granted under the Plan remain outstanding (this includes
unvested Rights and vested but unexercised Rights).
