NOTICE OF INTENTION TO CONSOLIDATE THE SHARE CAPITAL OF CSM GROUP LIMITED ON A 5 TO
1 BASIS – SUBJECT TO COMPLETION OF THE ACQUISTION OF ME TODAY GROUP
The directors of CSM Group Limited (NZX:CSM) have resolved, subject to the prior successful
completion of the acquisition of the shares in the Me Today Group, to implement a share
consolidation in order to rationalise the number of ordinary shares in CSM on issue.
Every 5 CSM shares held as at 5:00 p.m. on 2 April 2020 will be consolidated into one share, with all
fractional entitlements rounded to the nearest whole number of shares (and any fractional
entitlements to a half share being rounded up). CSM shares are currently suspended from trading,
and the consolidation shall be undertaken whilst the CSM shares remain suspended.
In the event that the acquisition of the Me Today Group is completed, and prior to the undertaking
of the consolidation:
• there will be 1,110,000,000 new shares issued to MTL Securities Limited in settlement of
that acquisition;
• a further 300,000,000 new shares will be issued to a number of wholesale investors to raise
funds to provide CSM with growth capital to fund CSM post the acquisition of the Me Today
Group;
• there will be a total of 1,824,550,000 shares on issue in CSM.
As a result of the consolidation, the number of CSM shares on issue will be reduced from
1,824,550,000 to approximately 364,910,000.
Pre-consolidation holdings in the same name will be aggregated for calculation of entitlements to
post-consolidation shares. Where CSM considers that pre-consolidation holdings have been split in
order to take advantage of rounding, CSM reserves the right to aggregate holdings held by
associated shareholders for the purposes of calculating entitlements to post-consolidation shares.
The expected timetable for the share consolidation is as follows:

2 April 2020 Record date for the consolidation.
3 April 2020 Implementation of consolidation
6 April 2020 Commencement of trading in post-consolidation shares on the NZX
