2020 Annual Meeting – now online only


On 22 July 2020, Infratil Limited (IFT) released the Notice of Meeting (and Proxy Form) for its 2020
Annual Meeting, to be held on Thursday, 20 August 2020 commencing at 2.30pm (NZST). In that
Notice of Meeting, shareholders were given the option to join the meeting in person or online.

Infratil now advises that, due to the revised COVID-19 restrictions announced by the Government on
11 August 2020, shareholders will no longer have the option to join the meeting in person, and
shareholders will only be able to join the meeting online. When participating online you will require
your shareholder number, found on your Proxy Form, for verification purposes.

Infratil originally proposed a hybrid meeting to give shareholders the option to join the meeting in
person or online based on their own preferences, given the ongoing impact of COVID-19. However,
Infratil does not now consider it prudent for shareholders to join next week’s meeting in person. The
Board appreciates shareholders’ support and understanding with regard to this one-off arrangement
for the 2020 Annual Meeting.

To participate in the Annual Meeting, please go to www.virtualmeeting.co.nz/ift20. More information
on online participation is set out in the Notice of Meeting and is also set out in the Appendix to this
announcement. Shareholders can submit questions online in advance of, or during the Annual
Meeting.

You may also appoint a proxy and direct your votes in advance of the meeting. Please see the Notice
of Meeting for instructions.

Appendix: Online Participation


Voting and Proxies

The 2020 Annual Meeting will now be an online meeting only, and voting on all resolutions put before
the meeting will be by poll. Results of the voting will be available after the conclusion of the
meeting, and will be notified on the NZX and ASX.

Your right to vote may be exercised by:

(a) Attending the meeting, and voting, online.
(b) Appointing a proxy (or representative) to attend online and vote in your place.

Online participation in meeting

To participate in the meeting online, please go to www.virtualmeeting.co.nz/ift20.

Shareholders will have the opportunity to ask questions in advance of or during the Annual Meeting. If
you would like to ask a question, you can submit a question online by going to
vote.linkmarketservices.com/IFT and completing the online validation process. Shareholders can also
submit written questions in advance of the Annual Meeting by completing the question section on the
Proxy Form – refer to the Proxies section in the Notice of Meeting.

More information about participating in the meeting online (including how to vote and ask questions
