issue by Ventia and 37.6 million Shares for sale by Ventia SaleCo
Limited (SaleCo).

Minimum Application Amount:
The minimum Application under the Broker Firm Offer is
AU$2,000, and in multiples of AU$500 thereafter. There is no
maximum value of Shares that may be applied for under the
Broker Firm Offer.
The Joint Lead Managers, Ventia and SaleCo reserve the right to
treat any Applications in the Broker Firm Offer that are from
persons who they believe may be Institutional Investors, as Final
Price bids in the Institutional Offer or to reject the Applications.
The Joint Lead Managers and Ventia and SaleCo also reserve the
right to aggregate any Applications that they believe may be
multiple Applications from the same person.
Applications under the Employee Offer, Priority Offer and CIMIC
Group Limited Shareholder Offer must be for a minimum of
AU$2,000 worth of Shares and in multiples of AU$500 worth of
Shares thereafter. There is no maximum value of Shares that may
be applied for under the Employee Offer or CIMIC Group Limited
Shareholder Offer.
Priority Offer applicants will be advised of the maximum value of
Shares that they may apply for. Applications may also be made in
New Zealand dollars. Applications in New Zealand dollars must be
for a minimum of NZ$2,200 worth of Shares and in multiples of
NZ$550 worth of Shares thereafter.
