Details of transactions and events giving rise to ceasing of substantial holding
Details of the transactions or other events requiring disclosure: On 2 December 2021 each
of Knox Fund IV NZD LP and Knox Fund IV AUD LP (the “Knox Funds”) undertook an in
specie distribution to their respective limited partners of all of the Shares held by each of
the Knox Funds. As part of that distribution, Takatimu Investments Limited received
1,705,221 Shares previously held by the Knox Funds for no consideration. As a result of
the in specie distribution:
(a) the Knox Funds no longer hold any Shares;
(b) Takatimu Investments Limited received 1,705,221 Shares from the Knox Funds for
no consideration (Bret Jackson has a relevant interest in Shares held by Takatimu
Investments Limited as he is the sole shareholder and a director of that company);
and

(c) Bret Jackson ceased to have a relevant interest in all other Shares previously held
by the Knox Funds.
