Resignation of Non-executive Director – Kevin Crowe

Ventia Services Group Limited (Ventia) announces the resignation of Non-executive Director, Mr

Kevin Crowe, effective on the day on which Ventia lodges its financial results to the ASX and NZX for

the year ended 31 December 2023. Mr Crowe was appointed to the Board as AIF VIII Singapore Pte

Ltd (“Apollo’s") nominee director in December 2014.


As a consequence of this resignation, Mr Steve Martinez, Apollo’s alternate director for Mr Crowe, also

resigns effective on the same day.


Ventia Chairman, Mr David Moffatt, said “Mr Crowe and Mr Martinez have each played a significant

role in the formation and growth of Ventia since 2014. Their contribution to the Board has included

improvements in governance, entrepreneurship, and M&A, most notably Ventia’s acquisition of

Broadspectrum in 2020, and capital raising including Ventia’s IPO on the ASX and NZX in 2021. We

thank them sincerely for their service and commitment to Ventia as Directors.”


Mr Moffatt further noted that the Board regularly reviews its composition in the context of skills,

experience and diversity, which remains strong
