RETIREMENT OF DIRECTOR

Downer EDI Limited (Downer) (ASX:DOW) announced today that Nicole Hollows will retire as a
Non-executive Director on 15 November 2024.

The Chairman of Downer, Mark Menhinnitt, said Ms Hollows had made a significant contribution to
Downer over the past six years.

“Nicole joined the Downer Board in June 2018 and has been a strong catalyst for business
improvement and renewal, having helped the company successfully pursue opportunities and
navigate challenges over the ensuing years,” Mr Menhinnitt said.

“Nicole has provided invaluable leadership through service as Chair of the Audit and Risk
Committee, and as a member of the People and Culture Committee and Project Governance
Committee.

“On behalf of the Board, and our shareholders, I thank Nicole for her dedication and all that she
has done for Downer and wish her the best for the future.”
