Audit Committee Membership Update

(PGW) advised today that Independent Director, Wilson Liu will join the
Audit Committee, and U Kean Seng will step down from the Audit Committee effective from 12
August 2025.

PGW will remain compliant with Audit Committee requirements under NZX Listing Rule 2.13 and
the Corporate Governance Code following the change.

The Audit Committee will comprise of three Independent Directors,

two of whom have
accounting and financial expertise as follows:
• Sarah Brown, Independent Director and Chair of the Committee.
• Garry Moore, Independent Director.
• Wilson Liu, Independent Director.
