Update on proposed scheme of arrangement (“Scheme”)
Bremworth Limited (NZX: BRW) announced on 2 October 2025 that it had entered into a
Scheme implementation agreement (“SIA”) with Floorscape Limited, while also noting that
the SIA remained subject to a number of conditions including shareholder approval, High
Court approval, New Zealand Commerce Commission clearance, Australian Competition and
Consumer Commission (“ACCC”) approval and an IRD ruling on the tax implications of the
associated capital return.
Bremworth is pleased to announce that the ACCC has confirmed that it does not intend to
conduct a public review of the Scheme and/or take action to oppose the Scheme. This
satisfies the ACCC condition under the SIA.
Subject to satisfying the remaining conditions, Bremworth and Floorscape are continuing to
target completion of the Scheme in H1 2026.
Bremworth shareholders do not need to take any action at this stage.
