DIRECTOR RESIGNATION AND APPOINTMENT


Tourism Holdings Limited (NZX:THL, ASX:THL, “thl” or “the Company”) advises of changes to the thl Board.


Independent Director Gráinne Troute has resigned and will step down from the thl Board, effective as of the

end of May 2026. Gráinne has served as a Director since 2015 and has made a significant contribution to thl

over that period, drawing on her extensive general management and governance experience, including in

people leadership. During her tenure, Gráinne served as Chair of thl’s Remuneration and Nomination

Committee from 2015 to 2023, and is currently a member of the Health, Safety and Sustainability Committee.


The Board thanks Gráinne for her dedicated service and significant contribution to thl since her appointment

in 2015, and for the depth of experience and insight she has brought to the Board, and wishes her well for the

future.


The thl Board has appointed Barbara Chapman CNZM as a Director, effective immediately, to fill the vacancy

that will be created by Gráinne’s departure.


Barbara brings an extensive executive and governance background, including as Chief Executive Officer and

Managing Director of ASB Bank from 2011 to 2018, leading a staff of over 4,500. Prior to this, she held the role

of Group Executive – Human Resources and Group Services at Commonwealth Bank of Australia, leading a

global team across HR, investor relations, marketing and communications.


Barbara’s current governance roles include Chair of Genesis Energy (NZX:GNE), Director of the Bank of New

Zealand and Deputy Chair of the New Zealand Initiative.


Barbara was awarded a Companion of the New Zealand Order of Merit for services to business in the 2019

New Year Honours List.


The Board has determined that Barbara is an independent director for the purposes of the NZX Listing Rules.
