Notice under Section 708A(5)(e) of the Corporations Act 2001(Cth)

Manuka Resources Limited (ASX: MKR), (NZX: MKR) (Company) advises that on 14 September 2026,
207,142,857 fully paid ordinary shares (each, a New Share) were issued at an issue price of $0.07 per
New Share to sophisticated and professional investors under a placement (Placement).

The New Shares were issued by the Company without disclosure to investors under Part 6D.2 of the
Corporations Act 2001 (Cth) (Act).

The Company gives notice under section 708A(5)(E) of the Act that:

• the New Shares the subject of the Placement were issued without disclosure to investors
under Part 6D.2 of the Act;
• as at the date of this Notice, the Company has complied with:
(a) the provisions of Chapter 2M of the Act as they apply to the Company; and

(b) sections 674 and 674A, of the Act; and

• as at the date of this Notice, there is no information that
(c) has been excluded from a continuous disclosure notice in accordance with the ASX
Listing Rules; and

(d) investors and their professional advisers would reasonably require for the purpose
of making an informed assessment of:

o the assets and liabilities, financial position and performance, profits and losses
and prospects of the Company; or

o the rights and liabilities attaching to the Securities.
