DIRECTOR APPOINTMENT & INDEPENDENCE DETERMINATION


Director Appointment

The Board is pleased to announce the appointment Derek Charge as a Director effective from 6 March
2019. The Board has determined that Derek Charge is an Independent Director.

Derek Charge is non-executive director of the New Zealand Institute for Minerals to Materials
Research. From his previous experience in various executive roles with BlueScope Steel Limited, he
brings a background in heavy manufacturing, mining and minerals processing, and logistics and port
operations. As Vice President - Minerals of New Zealand Steel he led the six-fold growth of NZ’s
ironsand exports, as well gaining significant experience in the coal, vanadium, shipping and steel
industries.

Prior to joining BlueScope, Derek Charge was a partner of nationwide Australian law firm, Sparke
Helmore, specialising in mineral resource development and environmental planning law.

Derek Charge holds Bachelor’s degrees in Jurisprudence and Law, and a Master’s degree in Media,
IT and Telecommunications Law, all from the University of New South Wales. He has also carried
out extensive tertiary study in physics and in agricultural sciences.

Director Independence Determination

In accordance with Listing Rule 3.3.3(b), Scott’s Board of Directors has determined that the following
Directors are “Independent Directors”, as defined by NZX Listing Rule 1.6.1:
