NZX Listing Rule Deadlines Explained
Preliminary Announcement
NZX Listing Rule 10.4.1 requires issuers to release preliminary results within 60 days of their balance date. This typically includes revenue, NPAT, EPS, and dividend announcement.
Half-Year Report
NZX Listing Rule 10.4.2 requires a half-year report within 60 days of the half-year end (6 months after balance date). This includes interim financial statements reviewed by the auditor.
Annual Report
NZX Listing Rule 10.4.2 requires the annual report within 3 months of balance date. This is the full audited financial statements with directors' report, governance disclosures, and remuneration information.
Annual General Meeting (AGM)
NZX Listing Rule 10.5.1 requires Main Board issuers to hold their AGM within 5 months (150 days) of balance date. This is where shareholders vote on director elections, auditor appointment, and remuneration.
AGM Notice
Under the Companies Act 1993 (s121), companies must send the notice of meeting to shareholders at least 20 working days before the AGM. This includes the agenda, resolutions, and explanatory notes.
